First Official Update for HEF Shareholders!

FIRST UPDATE FOR SHAREHOLDERS!

First of all, we’d like to thank you for your support and faith in HEF.

It is very much appreciated.

Here is what is going on:

Since the Campaign closed, there has been a continuing period of time where StartEngine arranges the transfer of funds to HEF. Because HEF had not taken any “draw” during the campaign, all individuals pledges had to be cleared through individual card and banking entities.

As of this date, certain individual investments have not yet been cleared.

Certain other individuals have had “problems” with their investment – please check your email boxes (including SPAM) for communications from StartEngine as to what to do!

HEF has received most, but not all, of the invested funds, but, we HAVE been granted permission to write and post this update.

Happily, we just received your individual contact info!

Please expect communication directly from HEF soon asking about your choice of perks for which you might qualify.

We will then arrange for the perk(s) to be delivered to you, as well as send you the appropriate CODES for the SHUDDER streaming service!

We apologize for the delay and assure you we are committed to moving forward as quickly as possible.

If you have any further questions, please feel free to write directly to INFO@HORROREQUITYFUND.com and identify yourself as a  HEF SHAREHOLDER!

We are working hard on some exciting projects – so make sure to register on the HEF website for our Newsletterwww.HorrorEquityFund.com

And once again – thank you for your faith and support.

Sincerely,

HEF MANAGEMENT

One Day Left! This is it!

This is it!

We don't know if this opportunity will be available again to all fans, creators or investors!

We do know that these exact circumstances are a "moment in time" that will certainly never be available again to all fans, creators or investors!

While this campaign has been underway, the entire HEF Team has been working diligently on seeking out, reviewing and signing projects that fit the Company's core values and our commitment to mitigating risk to the investors.

We recently announced our partnership with ERIC RED (The Hitcher, Near Dark, Body Parts, and more) and further projects will be announced as they are officially signed.

Take the leap NOW and join HEF as a shareholder!

"PROFIT FROM YOUR PASSION!"

Creator of Near Dark & The Hitcher partners with Horror Equity Fund for new horror movie, White Knuckle

Visionary writer/director, Eric Red, is teaming with Horror Equity Fund for the new horror movie, WHITE KNUCKLE. Eric will direct from a screenplay based on his novel of the same name. Horror fans know Eric as the writer of genre favorites, Near Dark (1987) and The Hitcher (1986). He is also the writer/director of Body Parts (1991) and Bad Moon (1996).

WHITE KNUCKLE tells a gripping story of female empowerment. The film follows a woman who survives an attack by a serial killer, and then takes it upon herself to stop him from hurting anyone else.

Eric Red says, “I’m very excited to be joining forces with Marlon Schulman, Brian Herskowitz and Tony Timpone at Horror Equity Fund for my new film, WHITE KNUCKLE. It’s a great team to be working with making a terrifying road thriller in the tradition of THE HITCHER.”

Tony Timpone says, "Very happy that the first project I brought into Horror Equity Fund to be fast-tracked is Eric Red's super-kinetic WHITE KNUCKLE. Eric's previous work in the genre, THE HITCHER, NEAR DARK and BODY PARTS, were unique and terrifying. WHITE KNUCKLE will keep people off the highways like JAWS kept 'em out of the water. And HEF supporters can be part of the ride!"

January 29th - the END of THIS CAMPAIGN

Don't be left out! You've waited long enough!

Take the plunge and INVEST IN HORROR! (and pick up a cool (or horrible!) PERK!)

(I am looking you straight in the eye!):

Here is your chance to own a piece of an entertainment company laser-focused on the highest ROI segment of the film market!

Here is a opportunity, whether you are a fan, a creator or investor to perhaps "Profit From Your Passion!" And unlike "The Postman": Opportunity might not knock more than once!

Thanks!

FURTHER TO LAST UPDATE

The last update referred to certain individuals whose email address was not "recognized" or "accepted" by the site. It wold appear that they tired to invest, but that they received no "confirmation email" of any sort.

Appropriate levels of support at StartEngine are looking into that circumstance.

If any prospective investor has received an email indicating that their investment has been accepted - but their card (if that is how that investor chose to pay) appears not to have been yet charged - NEVER FEAR! That is normal until such time as there has been a "closing" and/or the end of the campaign. Neither circumstance in this campaign has yet occurred. Detaisl can be found elsewhere on the StartEngine site.

MEANWHILE:  There is but ONE WEEK LEFT in this GROUND-BREAKING CAMPAIGN !

Spread the Word!

Tell Your Friends!

Please know that there is a great deal going on "Behind the Scenes" & we will announce all asap!

Thank you all for your support!

As the holidays and end of 2018 swiftly pass by, we thought it an appropriate time to update you as to what’s been going on with HEF! We are quite pleased with the variety of HEF projects including supernatural, psychological, insects, drug – induced and “monster” horror-based screenplays. We are developing associated VR and AR games, and related entertainment products both in association with certain assets and as “stand-alones”. We continue to widen, deepen and strengthen HEF’s strategic relationships. We are deep in negotiations with several sources of further capitalization which would position HEF to fund present and future projects as well as our strategic Casting Fund in 2019. While we are not “in production“ right now, we believe that we are on the precipice of very horrible things to come ( but in a good way)! Happy New Year, All the Best - and thank you again for being part of the HEF team!

There have been no significant changes in the HEF financial picture since the last comment approx. 2 months ago. We will use our best efforts to announce any such development(s)/changes at the earliest time. We are deep in negotiations with several potential funding sources for both specific projects and the Company itself. But all will take time.

While the net amount raised did not let us proceed as cleanly as we would have like to the next steps in our plan, it did raise/broaden the brand of the company sufficiently so as to bring a “better profile” and “higher level” of projects into our fold. We are centering our efforts on getting a few of those projects off the ground as quickly as possible. Several have “money on them” already, and we have made great strides in gathering momentum for several – especially “Don’t Let the Bed Bugs Bite!” Just this week, we are announcing the addition of a fine director to the Project (see immediately below). Rich Thorne has now been attached (initial public announcement through our partner HorrorNews.net forthcoming) – and in fact the project now has some significant money attached. We also close to closing negotiations with several commercial and product integration entities for the film (bringing financial and PR support). Hopefully, much will be reflected on our website in the next few weeks. A great deal of time after the close of the campaign was devoted to closing the raise, collecting money and arranging for and dispensing/delivering “perks.” We appreciate your patience – and hope to have updates with great news more regularly. If you have any further questions, or desire more clarity as to related matters, please do not hesitate to contact me directly at MSchulman@HorrorEquityFund.com Thank you!

After the conclusion of this campaign, will there be chances to buy any more shares? I only learned of this campaign close to closing, so I didn't get to invest as much as I might want.

So sorry for the delay in replying to your "forward-thinking" question! And "Thank you" for investing already! After the conclusion of this campaign, SEC rules and regs are quite clear in NOT allowing another (or an essentially similar) campaign for quite some time (see rules elsewhere on the StartEngine site.). While other avenues and other types of solicitations and/or campaigns might be available (for instance, a Reg. A+ initiative), the exact circumstances of this campaign will never come again. Shares, "perks", timing, projects, even if available, will most assuredly not be the same. Let us point out though, that investors who invest NOW, will potentially benefit from ALL projects that HEF takes on, not just those signed now - but going forward into the future as well! So- in our humble opinion,, the time to act and invest is NOW! As "accredited investors" have differing rules that specifically apply to them, we will ALWAYS encourage such persons to be in contact with HEF regarding investment issues and possibilities. Thanks again for this opportunity to reply to your question!

FAQS

With Regulation A+, a non-accredited investor can only invest a maximum of 10% of their annual income or 10% of their net worth per year, whichever is greater. There are no restrictions for accredited investors.

With Regulation Crowdfunding, non-accredited investors with an annual income or net worth less than $124,000 are limited to invest a maximum of 5% of the greater of those two amounts. For those with an annual income and net worth greater than $124,000, they are limited to investing 10% of the greater of the two amounts.

At the close of an offering, all investors whose funds have “cleared” by this time will be included in the disbursement. At this time, each investor will receive an email from StartEngine with their Countersigned Subscription Agreement, which will serve as their proof of purchase moving forward.

Please keep in mind that a company can conduct a series of “closes” or withdrawals of funds throughout the duration of the campaign. If you are included in that withdrawal period, you will be emailed your countersigned subscription agreement and proof of purchase immediately following that withdrawal.

StartEngine assists companies in raising capital, and once the offering is closed, we are no longer involved with whether the company chooses to list shares on a secondary market or what occurs thereafter. Therefore, StartEngine has no control or insight into your investment after the close of the live offering. In addition, we are not permitted to provide financial advice. You may want to contact a financial professional to discuss possible investment outcomes.

For Regulation Crowdfunding, investors are able to cancel their investment at any point throughout the campaign up until 48 hours before the closing of the offering. Note: If the company does a rolling close, they will post an update to their current investors, giving them the opportunity to cancel during this timeframe. If you do not cancel within this 5-day timeframe, your funds will be invested in the company, and you will no longer be able to cancel the investment. If your funds show as ‘Invested’ on your account dashboard, your investment can no longer be canceled.

For Regulation A+, StartEngine allows for a four-hour cancellation period. Once the four-hour window has passed, it is up to each company to set their own cancellation policy. You may find the company’s cancellation policy in the company’s offering circular.

Once your investment is canceled, there is a 10-day clearing period (from the date your investment was submitted). After your funds have cleared the bank, you will receive your refund within 10 business days.

Refunds that are made through ACH payments can take up to 10 business days to clear. Unfortunately, we are at the mercy of the bank, but we will do everything we can to get you your refund as soon as possible. However, every investment needs to go through the clearing process in order to be sent back to the account associated with the investment.

Both Title III (Regulation Crowdfunding) and Title IV (Reg A+) help entrepreneurs crowdfund capital investments from unaccredited and accredited investors. The differences between these regulations are related to the investor limitations, the differing amounts of money companies are permitted to raise, and differing disclosure and filing requirements. To learn more about Regulation Crowdfunding, click here, and for Regulation A+, click here.

1) Regulation A offerings (JOBS Act Title IV; known as Regulation A+), which are offered to non-accredited and accredited investors alike. These offerings are made through StartEngine Primary, LLC (unless otherwise indicated). 2) Regulation D offerings (Rule 506(c)), which are offered only to accredited investors. These offerings are made through StartEngine Primary, LLC. 3) Regulation Crowdfunding offerings (JOBS Act Title III), which are offered to non-accredited and accredited investors alike. These offerings are made through StartEngine Capital, LLC. Some of these offerings are open to the general public, however there are important differences and risks.

StartEngine Marketplace (“SE Marketplace”) is a website operated by StartEngine Primary, LLC (“SE Primary”), a broker-dealer that is registered with the SEC and a member of FINRA and the SIPC.

StartEngine Secondary (“SE Secondary”) is our investor trading platform. SE Secondary is an SEC-registered Alternative Trading System (“ATS”) operated by SE Primary that matches orders for buyers and sellers of securities. It allows investors to trade shares purchased through Regulation A+, Regulation Crowdfunding, or Regulation D for companies who have engaged StartEngine Secure LLC as their transfer agent. The term “Rapid,” when used in relation to transactions on SE Marketplace, specifically refers to transactions that are facilitated on SE Secondary, This is because, unlike with trades on the StartEngine Bulletin Board (“SE BB”), trades on SE Secondary are executed the moment that they are matched.

StartEngine Bulletin Board (“SE BB”) is a bulletin board platform on which users can indicate to each other their interest to buy or sell shares of private companies that previously executed Reg CF or Reg A offerings not necessarily through SE Primary. As a bulletin board platform, SE BB provides a venue for investors to access information about such private company offerings and connect with potential sellers. All investment opportunities on SE BB are based on indicated interest from sellers and will need to be confirmed. Even if parties express mutual interest to enter into a trade on SE BB, a trade will not immediately result because execution is subject to additional contingencies, including among others, effecting of the transfer of the shares from the potential seller to the potential buyer by the issuer and/or transfer agent. SE BB is distinct and separate from SE Secondary. SE Secondary facilitates the trading of securities by matching orders between buyers and sellers and facilitating executions of trades on the platform. By contrast, under SE BB, SE Primary assists with the facilitation of a potential resulting trade off platform including, by among other things, approaching the issuer and other necessary parties in relation to the potential transaction. The term “Extended”, when used in relation to transactions on SE Marketplace denotes that these transactions are conducted via SE BB, and that these transactions may involve longer processing times compared to SE Secondary for the above-stated reasons.

Even if a security is qualified to be displayed on SE Marketplace, there is no guarantee an active trading market for the securities will ever develop, or if developed, be maintained. You should assume that you may not be able to liquidate your investment for some time or be able to pledge these shares as collateral.
